Legal & commercial terms

Terms of service

Last updated: 17 Oct 2026 • Governing commercial equipment acquisitions and website usage in Singapore

Draft notice: These commercial terms set out our standard purchasing conditions. They are published for operational transparency and remain subject to formal review by Singapore legal counsel.

1. Agreement to terms

These Terms of Service (“Terms”) constitute a binding commercial agreement between F&L ENGINEERING PTE LTD (trading as “ibuykitchen”, “we”, “us”, or “our”) and any individual or business entity (“Seller”, “Client”, or “you”) requesting equipment valuation, submitting quote inquiries, or selling commercial catering equipment to us.

By using this website, submitting an inquiry, or accepting a formal purchase offer, you agree to be bound by these Terms.

2. Quotations and inspection rights

All preliminary price indications provided via our web form, email, or WhatsApp are non-binding operational estimates based on photographs and descriptions supplied by you.

Formal, binding purchase offers are subject to on-site physical inspection and operational verification by our technicians. We reserve the right to adjust or rescind an offer if:

  • The equipment differs materially in model, brand, dimensions, or specifications from earlier representations.
  • Mechanical, refrigeration, or electrical components (e.g. compressors, motors, PCB boards) fail operational tests or show latent defects not visible in submitted photos.
  • Key accessories (shelves, racks, burners, power cords) are missing at the time of inspection.

Written quotes are valid for fourteen (14) calendar days from the date of issuance, unless explicitly agreed otherwise in writing.

3. Seller warranties and title ownership

By accepting an offer to sell equipment, you explicitly warrant and represent that:

  • You are the sole legal and beneficial owner of the equipment, or have full written authority from the legal owner to transact.
  • The equipment is free and clear of all liens, mortgages, charges, hire-purchase agreements, leasing obligations, or landlord distress claims.
  • You have settled all third-party financing associated with the equipment prior to handover.
  • All serial numbers, manufacturer plates, and rating labels are genuine and have not been altered or defaced.

Title and risk in the equipment pass to ibuykitchen only upon execution of the handover receipt and release of cleared funds.

4. Site access, permits & utility isolations

To ensure safe and timely equipment collection, the Seller is responsible for:

  • Engaging qualified tradesmen (such as a Licensed Electrical Worker or licensed gas service worker) to safely isolate, disconnect, and cap all 3-phase electrical, Town Gas/LPG, and pressurized water feeds prior to our team's arrival.
  • Securing necessary building management permits, including Permits-to-Work (PTW), loading dock access passes, and service elevator reservations.
  • Ensuring unobstructed pathways between the kitchen and the loading bay suitable for heavy equipment moving dollies and pallet jacks.

5. Payment terms and settlement

Unless agreed otherwise in a written contract:

  • Payment is disbursed upon on-site collection verification, via instant PayNow (to registered business UEN or mobile) or direct FAST bank transfer.
  • A formal electronic handover receipt and invoice record will be generated and transmitted to the Seller's nominated email upon completion.
  • We do not issue unsecured advance deposits prior to physical inspection of the equipment.

6. Limitation of liability

To the maximum extent permitted by Singapore law:

  • ibuykitchen shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost business revenue, delayed lease handovers, or landlord penalties, arising from scheduling delays caused by building access denials, force majeure, or adverse weather.
  • Our maximum aggregate liability for any claim arising out of or relating to an equipment purchase agreement shall not exceed the total agreed purchase price of the equipment in dispute.

7. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore.

The parties irrevocably agree that the courts of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
